Terms of Service

1. Acceptance of Terms

By accessing or using any part of the Tradesman Ops website at tradesman-ops.com or its related services (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to all of these Terms, do not use the Service.

These Terms apply to all visitors, users, and others who access or use the Service. We reserve the right to update these Terms at any time. Continued use of the Service after any changes constitutes your acceptance of the new Terms.

2. Description of Service

Tradesman Ops provides an AI-powered missed-call receptionist service designed for trade businesses (plumbers, electricians, HVAC technicians, and similar contractors). When a caller reaches your forwarded business number, our AI answers, collects job details, and sends you a summary so you can follow up promptly.

We reserve the right to modify, suspend, or discontinue the Service (or any feature or portion thereof) at any time with or without notice. We will not be liable to you or to any third party for any modification, suspension, or discontinuation of the Service.

3. Accounts and Registration

To access certain features of the Service, you must create an account. You agree to:

  • Provide accurate, current, and complete information during registration.
  • Maintain and promptly update your account information.
  • Keep your password confidential and not share it with any third party.
  • Notify us immediately at [email protected] of any unauthorized use of your account.
  • Accept responsibility for all activities that occur under your account.

We reserve the right to suspend or terminate accounts that violate these Terms or that have been inactive for an extended period.

4. Fees and Payment

Certain features of the Service are offered on a paid subscription basis. By subscribing, you authorize us (or our payment processor) to charge the applicable fees to your payment method on a recurring basis. All fees are:

  • Listed in US dollars and exclusive of applicable taxes unless stated otherwise.
  • Non-refundable except as expressly set out in our refund policy or as required by law.
  • Subject to change with at least 30 days' notice provided via email.

If payment fails, we may suspend your access to the Service until payment is received. You are responsible for all applicable taxes.

5. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable local, state, national, or international law or regulation.
  • Transmit any unsolicited or unauthorized advertising or promotional material (spam).
  • Impersonate any person or entity, or misrepresent your affiliation with any person or entity.
  • Engage in any activity that interferes with or disrupts the Service or servers and networks connected to the Service.
  • Attempt to gain unauthorized access to any part of the Service or its related systems.
  • Collect or harvest any personally identifiable information without consent.
  • Use the Service for any unlawful, harmful, abusive, or fraudulent purpose.

6. Telephone Communications

By using our call-forwarding and AI receptionist features, you acknowledge and agree that:

  • Calls handled by our AI may be recorded or transcribed for the purpose of delivering the Service.
  • You are responsible for ensuring that any call recording or transcription complies with applicable laws in your jurisdiction, including obtaining any required consents from callers.
  • Tradesman Ops is not responsible for the accuracy of AI-generated transcripts or summaries.

7. Intellectual Property

The Service and its original content, features, and functionality are and will remain the exclusive property of Tradesman Ops and its licensors. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of Tradesman Ops.

You retain all rights to data you upload or provide through the Service. By using the Service, you grant us a limited, non-exclusive license to use that data solely to provide and improve the Service.

8. Third-Party Services

The Service may contain links to third-party websites or integrate with third-party services (e.g., telephony providers, payment processors). We have no control over and assume no responsibility for the content, privacy policies, or practices of those third parties. We encourage you to review their terms and privacy policies before using them.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, TRADESMAN OPS AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES — INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES — ARISING OUT OF OR RELATED TO YOUR USE OF (OR INABILITY TO USE) THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED US DOLLARS ($100).

11. Indemnification

You agree to defend, indemnify, and hold harmless Tradesman Ops and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with your access to or use of the Service, your violation of these Terms, or your violation of any third-party rights.

12. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Service will immediately cease. All provisions of these Terms that by their nature should survive termination shall survive.

13. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions. Any dispute arising out of or relating to these Terms or the Service shall be resolved exclusively in the state or federal courts located in El Dorado County, California, and you consent to the personal jurisdiction of those courts.

14. Severability

If any provision of these Terms is held to be invalid or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.

15. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Tradesman Ops regarding the Service and supersede all prior agreements and understandings.
